Key Points Summary (Non-Binding)
Important: This summary is for convenience only. It does not replace or change the full Terms below, which are legally binding.
About Veriscope and the Platform
- Veriscope runs a platform that connects people who capture newsworthy footage (Contributors) with organisations that license that footage (Clients).
- Contributors upload footage using the Veriscope Lens app.
- Clients discover, review and license footage using the Heatmap and Marketplace.
Ownership of footage and licensing
Contributors keep ownership of the footage they upload. By uploading footage, Contributors give Veriscope a licence to:
- host, store and display the footage,
- show previews and metadata, and
- license the footage to Clients via the Platform.
Clients who purchase licences do not own the footage; they get a right to use it under specific conditions (e.g. territory, duration, media).
Provenance vs editorial and legal checks
Veriscope’s core promise is provenance: we use technical tools to help show where, when and how footage was captured and uploaded, and to keep the file and metadata intact within our systems. This Provenance Guarantee is technical. Veriscope does not:
- fact-check what actually happened in the footage, or
- decide whether the footage is legally or ethically safe to publish.
Clients are solely responsible for their own editorial judgement, fact-checking and legal clearance before publishing, broadcasting or using footage.
Secure messaging and end-to-end encryption
The Platform may include encrypted messaging so Contributors and Clients can discuss clips and licences. Some messaging is end-to-end encrypted (E2EE):
- Veriscope cannot normally read message content.
- We only see limited metadata (sender, recipient, timestamps, routing).
- We rely on user reports if there is abuse or misuse.
Use by minors (under 18)
Users must be at least 13 years old. If you are 13–17, you should only use the Platform if this is allowed in your country and, where required, with your parent’s or guardian’s consent.
We do not currently age-verify or hard-block licensing/payouts for minors. Instead, we rely on your representations that:
- you are 18+, or
- you are 13–17 and have your parent/guardian’s permission.
Veriscope has rules against exploitation, grooming, harassment and other harmful behaviour and may suspend or terminate accounts for violations.
Platform role
Veriscope primarily acts as a hosting provider and intermediary marketplace. For most footage, licences are between the Contributor and Client, with Veriscope facilitating. For some curated content, Veriscope may act as licensor.
Moderation and reporting
Users can report illegal or infringing content or misuse of messaging. Because of E2EE, Veriscope usually cannot see message content and relies on reports and metadata. Veriscope can remove content, limit features or terminate accounts for policy or legal violations.
Limitation of liability
- The Platform is provided on an “as is” and “as available” basis, subject to mandatory consumer protections.
- For Business Users, Veriscope’s overall financial liability is capped, except where the law does not allow this (e.g. fraud, gross negligence, death/personal injury).
- Consumers keep all non-waivable rights under EU and national laws.
For full details and exact legal wording, please read the complete Terms below.

In assessing whether Content is newsworthy, Veriscope may have regard to recognised public-interest and newsworthiness standards, but Veriscope does not warrant the accuracy, completeness or newsworthiness of any particular Footage, for which Clients remain solely responsible in accordance with Section 5.
4. The Platform and Veriscope’s role
4.1 The Platform enables: The purpose of the Veriscope Lens and the Platform is to enable the capture, provenance-tracking and licensing of Newsworthy Content, that is, Footage relating to newsworthy scenes, events, happenings and occurrences, together with related metadata. In particular, the Platform enables:
- Contributors to capture, upload, provide, store and manage newsworthy or otherwise editorially relevant Footage and related metadata; and
- Clients to discover, preview, evaluate and license Footage under specified conditions.
4.2 Veriscope primarily provides:
- hosting and technical infrastructure;
- discovery and analytics features (including the Heatmap); and
- marketplace functionality for concluding and administering licences.
4.3 Default contracting structure
Unless explicitly stated otherwise for particular content:
- the Contributor is the licensor of the Footage;
- the Client is the licensee; and
- Veriscope acts as an intermediary and technical facilitator, including:
- presenting licence options and terms in the Platform;
- enabling ordering and delivery of files;
- collecting payments from Clients and arranging payouts to Contributors.
Where the Platform clearly indicates that Veriscope is the licensor for given content, Veriscope grants the licence as principal based on rights it has obtained from Contributors. Veriscope relies on the warranties and information provided by Contributors and does not conduct a full independent legal or chain-of-title review of each piece of Footage.
4.4 Veriscope does not provide legal, regulatory, editorial or journalistic advice. Users are responsible for their own compliance and for obtaining independent advice where appropriate.
4.5 Service changes and updates
We may at any time:
- introduce new features, services or functionalities;
- modify, suspend or discontinue existing features or parts of the Services;
- impose or change technical or usage limits; or
- change the way the Services are delivered or integrated with third-party systems,
provided that, where such changes are material and affect your existing rights or obligations, we will use reasonable efforts to notify you in accordance with clause 18.
Such changes will not affect licences already granted to Clients unless required by Applicable Law.
4.6 Beta and experimental features
From time to time, we may label certain features, services or interfaces as beta, preview, experimental or similar. Such features may:
- be subject to additional or different terms;
- be made available only to selected Users;
- change, degrade or be discontinued at any time; and
- not be covered by the same availability, support or performance commitments as core Services.
Your use of any beta or experimental feature is at your own risk and subject to the disclaimers and limitations of liability set out in these Terms.
4.7 Geographical availability and restrictions
The Platform may not be available in all countries or regions. Certain features, Content, Footage, Licences or payment methods may be restricted or unavailable:
- due to Applicable Law;
- due to sanctions, export controls or other governmental measures;
- because we have chosen not to offer the Services in certain territories; or
- because specific Contributors, Clients or Content are not eligible for certain uses or regions.
We may impose geo-blocking, technical restrictions or eligibility criteria to comply with Applicable Law or our policies.
5. Provenance guarantee and Client editorial responsibility
5.1 Provenance Guarantee (technical scope)
Veriscope’s core Services include tools for provenance tracking of Footage, such as recording and exposing metadata, timestamps, device identifiers, geolocation and other technical signals associated with the creation or upload of Footage via the App or other permitted interfaces.
Subject to the limitations described in these Terms and in the Privacy Policy, and for Footage captured and uploaded in accordance with Veriscope’s technical requirements, Veriscope guarantees that:
- the file delivered to the Client via the Platform corresponds to the file originally recorded and submitted through the App or other permitted interface, save for transparent and necessary technical processing such as compression or transcoding;
- there is no evidence, within Veriscope’s systems, of undisclosed tampering or alteration of the file after recording; and
- the technical metadata exposed through the Platform (such as timestamps, device identifiers and geolocation where enabled) reflects the data recorded by the relevant device or system at the time of capture or upload.
This Provenance Guarantee relates to the technical chain of custody and integrity of the file and metadata within Veriscope’s environment. It does not guarantee that:
- the events depicted actually occurred as described or perceived; or
- the Footage complies with all legal, regulatory or editorial standards in every jurisdiction.
5.2 Editorial and legal responsibility of Clients
Veriscope does not independently verify or guarantee that Contributors hold all rights necessary for every possible use of Footage. Clients remain solely responsible for conducting their own editorial, factual and legal verification before relying on any Footage or associated information for:
- publication or broadcast;
- journalistic reporting or documentary production;
- evidentiary or regulatory use; or
- any other professional or commercial purpose.
Without limiting the above, each Client must independently assess, where appropriate:
- the context in which the Footage was captured, including any staging, editing or omissions;
- the accuracy and completeness of descriptions, captions;
- the presence of identifiable individuals, locations, trade marks or other protected content;
- whether additional permissions, releases or clearances are required; and
- compliance with applicable laws, regulations, editorial codes and industry guidelines.
Nothing in these Terms transfers responsibility for editorial judgement, fact-checking, legal clearance or publication decisions from the Client to Veriscope.
Clients are solely responsible for determining whether additional permissions, releases or licences are required for their intended use of the Footage and for obtaining such permissions where necessary, including but not limited to talent releases, location releases, trademark permissions, and music or other underlying rights.
6. Eligibility, minors and capacity
6.1 You must be at least 13 years old to create an Account and use the Platform. The minimum age at which you can consent to our processing of your personal data varies between 13 and 16 depending on your country, in line with Article 8 of the GDPR. Where a higher minimum age applies in your country of residence, that higher age governs.
6.2 If you are between 13 and 17 years old, you may:
- only use the Platform to the extent permitted by the laws of your country of residence; and
- where required, only with the consent of your parent or legal guardian.
6.3 By creating an Account, using the Platform and, in particular, by offering Footage for licensing or receiving payouts, you represent and warrant that:
- you are at least 18 years old and have full legal capacity; or
- you are between 13 and 17 years old and your parent or legal guardian has authorised your use of the Platform, including any licensing and monetisation activities.
6.4 Veriscope may rely on these representations and is not obliged to actively verify the age or legal capacity of Users. We may, however, request additional information or suspend or terminate Accounts where we have reasonable grounds to suspect a breach of this clause.
6.5 We do not knowingly allow children under 13 to create Accounts. If we become aware that a child under 13 has created an Account, we will take reasonable steps to close the Account and delete or anonymise associated personal data, subject to legal and technical limitations.
7. Accounts and security
7.1 You are responsible for:
- keeping your login credentials secure;
- restricting access to your devices; and
- promptly notifying Veriscope of any suspected unauthorised access.
7.2 You are responsible for all activity that occurs under your Account, except where you can show it is the result of unauthorised use not attributable to your own negligence or breach.
7.3 To use certain parts of the Platform, you must register an Account and provide certain information (which may include your name, organisation, contact details, payment details and other information requested by us).
You agree to:
- provide accurate, current and complete information during registration and at all other times;
- promptly update such information as needed to keep it accurate, current and complete; and
- not create an Account using a false identity or on behalf of someone else without proper authority.
7.4 Security of login credentials
You are responsible for maintaining the confidentiality and security of your login credentials (including usernames, passwords, API keys or tokens) and for all activities that occur under your Account. You agree to:
- use strong, unique passwords and appropriate security measures;
- not share your credentials with any other person, except as part of authorised internal use within your Organisation;
- notify us promptly via the contact details provided on our website if you suspect any unauthorised access to or use of your Account; and
- log out and/or close your session when you have finished using the Services on a shared or public device.
7.5 Account ownership and transfer
Each Account is personal to you or, where applicable, your Organisation. You may not transfer, assign, sell or otherwise share your Account (or any related rights) to or with any third party without our prior written consent. If you are part of an Organisation, your Organisation may have certain rights to manage, control or reassign your Account internally.
7.6 Right to refuse, suspend or terminate
We may, at our reasonable discretion and subject to Applicable Law:
- refuse to register an Account for you;
- place limits on, suspend or restrict your access to the Services or specific features; or
- terminate your Account and/or your access to the Services,
particularly where we reasonably believe that:
- you have breached these Terms or any other applicable policy or any applicable Community Standards (where published);
- you have engaged in or are likely to engage in fraud, abuse, or other unlawful or improper conduct;
- your use of the Services poses a security, technical or operational risk to the Platform, other Users or third parties; or
- this is necessary to comply with Applicable Law, regulatory requirements or requests from competent authorities.
8. Contributors – content, rights and licence to Veriscope
8.1 Ownership
Contributors retain ownership of all Intellectual Property Rights in their Footage, subject to the licences granted under these Terms.
8.2 Content standards
Contributors must ensure that their Footage and related content comply with applicable laws and the content standards set out in these Terms (including clause 9).
8.3 Licence to Veriscope
By uploading or providing Footage to the Platform, you grant Veriscope a worldwide, non-exclusive, transferable, sublicensable, royalty-free licence to:
- host, store, reproduce, adapt (for technical reasons), index, back up and otherwise process the Footage to operate and maintain the Platform;
- create and display previews, thumbnails and watermarked samples;
- display and promote Footage within the Platform and externally to promote Veriscope and Contributors, in line with professional industry standards;
- facilitate, administer and enforce licences to Clients, including by sublicensing where necessary;
- record, reference or link the Footage and related transactions using Blockchain and Decentralised Storage, as described in the Privacy Policy.
This licence continues while the Footage is available on the Platform and for a reasonable period thereafter to allow back-ups, legal compliance and dispute resolution.
8.4 Contributor warranties
Contributors warrant that they:
- own or control sufficient rights in their Footage to grant the above licences;
- have obtained necessary releases and consents (e.g. from individuals, property owners, underlying rights holders) where required;
- have not knowingly misrepresented the circumstances of capture; and
- will promptly notify Veriscope if any of these statements cease to be true.
9. Clients – licences and use of Footage
9.1 For each piece of Footage or product category, the Platform may present one or more licence options specifying:
- permitted uses (editorial, documentary, online, broadcast, internal, etc.);
- territorial scope;
- duration;
- media/channels; and
- any further restrictions or obligations.
9.2 By purchasing a licence, the Client agrees to be bound by:
- the specific licence terms presented at the point of purchase; and
- these Terms.
9.3 Unless expressly stated otherwise:
- licences are non-exclusive;
- licences do not transfer ownership of the Footage;
- Clients must not use Footage beyond licence scope, resell it as stock, or use it in a materially misleading or unlawful way.
9.4 Clients must not use Footage in a manner that is defamatory, misleading, or that materially misrepresents the events, individuals, locations or circumstances depicted. Without limitation, Clients must not:
- edit, caption, juxtapose or present Footage in a way that falsely implies that a person has engaged in wrongdoing, misconduct or illegal activity;
- use archival or illustrative Footage in a way that falsely suggests that it depicts a current event or a specific incident where this would be misleading;
- imply endorsement, participation or association by any individual, organisation or brand shown in the Footage where no such relationship exists.
Clients remain solely responsible for the editorial context in which Footage is used and for ensuring that their use complies with applicable defamation, media, privacy and consumer protection laws. Veriscope does not control and is not responsible for the editorial framing, captioning, narration, commentary or surrounding context in which Footage is ultimately used or published.
10. Acceptable use, community standards and protection of minor
10.1 General obligation to use the Platform lawfully and responsibly
You must use the Platform and Services only in accordance with these Terms, Applicable Law, and applicable professional or editorial standards. You are responsible for all activities conducted through your Account and for ensuring that your use of the Platform does not harm Veriscope, other Users, or third parties.
You agree that you will not, and will not permit or encourage any third party to:
- use the Platform or Services in any manner that violates Applicable Law or these Terms;
- infringe, misappropriate or violate the intellectual property, privacy, publicity or other rights of Veriscope, other Users or third parties; or
- engage in any activity that may damage, disable, overburden or impair the Platform or interfere with any other User’s ability to access or use the Services.
10.2 Prohibited content and conduct
You must not upload, share, transmit or otherwise make available any Content that:
- is illegal, unlawful or otherwise breaches Applicable Law, including laws relating to terrorism, child protection, hate speech, harassment, discrimination, defamation or incitement to violence;
- infringes or misappropriates intellectual property rights or other proprietary rights of any third party;
- violates privacy or data protection laws, including by unlawfully capturing or sharing personal data or images of individuals where they have a reasonable expectation of privacy;
- contains threats, harassment, intimidation, bullying or abusive behaviour;
- promotes or encourages self-harm, suicide or serious violence;
- contains malware, viruses, ransomware or other malicious code designed to disrupt or damage systems or data;
- is knowingly false, misleading or intentionally deceptive, including fabricated or staged footage presented as genuine news footage without clear disclosure where required.
Veriscope may remove, disable or restrict access to such Content where we reasonably believe it violates these Terms or Applicable Law.
10.3 Protection of minors
The Platform must not be used in any way that exploits, harms or endangers minors.
Users must not:
- upload, share or distribute child sexual abuse material or any sexualised imagery involving minors;
- solicit or attempt to engage minors in sexual, exploitative or otherwise harmful interactions;
- groom, harass, intimidate or manipulate minors through messaging or other Platform features;
- encourage minors to participate in dangerous or illegal activities.
Because some messaging features may use end-to-end encryption, Veriscope cannot proactively monitor message content. We therefore rely on a combination of:
- clear community rules;
- User reports;
- metadata and technical signals; and
- other available evidence
to detect and address misuse.
Veriscope may suspend accounts, remove Content, disable messaging features or report matters to law enforcement authorities where we reasonably believe that conduct involving minors violates these Terms or Applicable Law. As additional risk-mitigation measures, and to support compliance with applicable online-safety and Digital Services Act expectations, Veriscope may display in-app warnings (including to users who indicate or appear to be minors) about sharing precise location data and about communicating with people they do not know, may apply default privacy and contact settings for younger users, and may restrict or disable certain features where this is appropriate to protect minors.
10.4 Platform security and technical integrity
You must not interfere with or attempt to interfere with the proper functioning of the Platform or any related systems.
In particular, you must not:
- hack, attack or attempt to gain unauthorised access to the Platform, its servers, databases, infrastructure or associated systems;
- conduct denial-of-service attacks, excessive automated requests or other actions that could disrupt or degrade the performance of the Platform;
- exploit vulnerabilities or attempt to bypass security mechanisms implemented by Veriscope or its infrastructure providers;
- circumvent, disable or otherwise interfere with any authentication systems, security protections, usage limits or technical safeguards implemented by or on behalf of Veriscope; or
- interfere with monitoring systems designed to protect the Platform or other Users.
10.5 Automated access, scraping and data extraction
Unless expressly authorised by Veriscope in writing or through an official API or interface documentation, you must not:
- scrape, crawl, harvest, copy or extract data, Content or metadata from the Platform using automated tools;
- use bots, scripts, crawlers, data-mining tools or similar technologies to access the Platform;
- build or compile databases derived from Platform Content or metadata; or
- replicate, mirror or systematically collect data from the Platform.
These restrictions are intended to protect the integrity of the Platform, the rights of Contributors and Clients, and Veriscope’s proprietary systems and analytics.
10.6 Reverse engineering and platform misuse
Except where expressly permitted under Applicable Law, you must not:
- reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Platform;
- attempt to discover the underlying structure, algorithms or technical architecture of the Platform;
- access or use the Platform for the purpose of developing competing products or services;
- test, probe or scan the Platform for vulnerabilities without Veriscope’s prior written consent.
10.7 Misuse of Footage and Content
Without limiting the other provisions of these Terms, Clients and other Users must not:
- use Footage beyond the scope of the applicable Licence;
- remove or obscure watermarks, attribution notices or legal notices required under the applicable Licence;
- re-license, resell or redistribute Footage except as expressly permitted by the Licence;
- use Footage in a manner that is defamatory, misleading or unlawful; or
- present Footage in a way that materially misrepresents the events, individuals or circumstances depicted.
10.8 Enforcement
Veriscope may take appropriate action where we reasonably believe that a User has violated this Section or Applicable Law. Such actions may include:
- removing or disabling access to Content;
- restricting or suspending Accounts;
- limiting access to certain Platform features;
- terminating Accounts; and
- reporting suspected illegal activity to competent authorities where required or appropriate.
Veriscope may act with or without prior notice where necessary to protect Users, the Platform or third parties, or to comply with Applicable Law.
10.9 Veriscope will not be liable for any loss or damage arising from the removal or restriction of Content in good faith in order to comply with Applicable Law or regulatory obligations.
11. Secure messaging and end-to-end encryption
11.1 Messaging features
The Platform may provide messaging features allowing Contributors and Clients to communicate about Footage, context, licensing, pricing and related matters.
11.2 End-to-end encryption
Certain messaging features may use end-to-end encryption. Where this is the case:
- message content is encrypted on the sender’s device and can only be decrypted by the intended recipient(s);
- Veriscope does not possess the cryptographic keys needed to decrypt message content;
- Veriscope cannot ordinarily access or read the content of such messages; and
- message content may not be recoverable by Veriscope if lost or deleted by Users.
11.3 Metadata processing
Even where message content is end-to-end encrypted, Veriscope may process non-content data, including:
- user identifiers;
- timestamps;
- routing information (e.g. message sent/delivered/failure events);
- device identifiers; and
- other technical metadata necessary to operate, secure and improve the messaging service,
in accordance with the Privacy Policy.
11.4 Misuse of messaging
Users remain responsible for their communications and must not use messaging features to:
- engage in unlawful conduct, harassment, bullying or coercion;
- solicit, encourage or share illegal content;
- solicit or encourage any sexual, violent or otherwise harmful conduct, particularly in relation to minors;
- attempt to circumvent the Platform’s licensing or payment systems.
Because of end-to-end encryption, Veriscope cannot proactively monitor message content and relies on User reports and available metadata.
11.5 User reports and enforcement
These reporting mechanics apply where messaging features are made available. If you believe a message or conversation violates these Terms or the law, you may submit a report via the Platform or our website. You may also voluntarily provide copies, screenshots or details of messages to assist Veriscope in investigating.
Nothing in this clause limits Veriscope’s ability to:
- suspend or terminate Accounts;
- restrict messaging features; or
- take other enforcement actions
based on available information, User reports, metadata or other evidence of misuse.
12. Data protection and privacy
Our processing of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Platform, you acknowledge that we process personal data as described there.
13. Blockchain and decentralised storage
13.1 Use of Blockchain and decentralised storage technologies
The Platform may use Blockchain and Decentralised Storage technologies to support the operation and integrity of the Services. These technologies may be used to:
- record or timestamp certain events or transactions related to Footage, Content or Licences (for example hashes, identifiers or references to files or metadata);
- store, reference or link to Footage or associated data using decentralised or content-addressed storage systems (including networks such as the InterPlanetary File System (IPFS) or similar technologies);
- provide verifiable records or audit trails relating to the provenance, capture, upload, licensing or distribution of Footage; and
- support the integrity, traceability and transparency of transactions and metadata within the Platform.
In most cases, Veriscope aims to record hashes, identifiers or references rather than full files or plain personal data directly on Blockchain networks.
13.2 Nature of decentralised networks
You acknowledge and understand that Blockchain networks and decentralised storage systems have particular technical characteristics, including that:
- data or references stored on such networks may be replicated across many independent nodes operated by third parties outside Veriscope’s direct control;
- records on most Blockchains are designed to be tamper-resistant or immutable, meaning that once data (or a hash or reference to data) is written to the ledger it may not be technically feasible to alter or delete it; and
- decentralised storage systems may distribute data across multiple independent infrastructure providers and nodes.
As a result, removal of Footage or Content from the Platform will not necessarily remove all related records or references from decentralised networks.
13.3 Implications for confidentiality and data protection
The use of Blockchain and decentralised storage technologies may have implications for:
- the confidentiality and availability of data, including the possibility that certain references or metadata remain accessible through decentralised networks even after Content is removed from the Platform; and
- the practical ability to erase or correct certain records, as may otherwise be expected under data protection or privacy laws.
Veriscope seeks to mitigate these issues by:
- avoiding the storage of plain personal data directly on Blockchain where reasonably possible;
- using hashing, pseudonymisation and off-chain storage where appropriate; and
- limiting the data written to Blockchain to technical references or integrity-verification mechanisms where feasible.
Further information about these practices is provided in the Privacy Policy.
13.4 Risks and limitations of decentralised technologies
You acknowledge and accept that Blockchain networks and decentralised storage systems may be subject to risks and limitations beyond Veriscope’s reasonable control, including:
- disruptions, outages or performance degradation;
- forks, protocol changes or changes to consensus mechanisms;
- governance decisions made by independent network participants;
- attacks, vulnerabilities or exploits affecting underlying protocols; and
- other failures, design limitations or operational issues associated with decentralised infrastructure.
Accordingly, Veriscope cannot guarantee:
- the long-term availability, accessibility or integrity of data stored on decentralised networks;
- that any record or reference written to a Blockchain can be modified, corrected or deleted once recorded; or
- that all third-party node operators or infrastructure providers will comply with deletion or correction requests.
While Veriscope will use reasonable efforts to design and configure its use of such technologies in a privacy- and security-conscious manner, complete erasure of all copies or references from decentralised networks may not be technically possible.
13.5 User responsibilities and acknowledgement
You should not upload, request the uploading of, or otherwise submit Content or information to the Platform that you are not comfortable having:
- referenced or associated, potentially in a long-lasting or immutable manner, with records on Blockchain or decentralised storage networks; or
- processed in a way that may limit the practical ability to fully erase or correct all copies or references.
Your use of the Services is subject to these technological characteristics, and Veriscope’s liability in relation to such technologies is limited as set out in Section 16 (Warranties and limitation of liability).
14. Intellectual Property, Licences and Notice-and-Action
14.1 Ownership of Content by Contributors
14.1.1 Retention of rights
Subject to any third-party rights in underlying materials and to the licences granted under these Terms, Contributors retain ownership of all Intellectual Property Rights in the Footage and other Content they upload or otherwise make available through the Platform.
14.1.2 Contributor warranties on rights
By uploading Content, each Contributor represents and warrants that:
- they are the owner of, or hold valid and sufficient rights, licences and permissions in and to, the Content they upload to the Platform;
- they have the right to grant the licences and permissions described in these Terms;
- their provision and use of the Content (and any subsequent uses permitted under Licences granted to Clients) will not infringe or violate any Intellectual Property Rights, privacy rights, publicity rights or other rights of any third party.
14.2 Licence granted by Contributors to Veriscope
14.2.1 Scope of licence to Veriscope
By uploading or otherwise making Content available through the Platform, you grant Veriscope a worldwide, non-exclusive, transferable, sublicensable, royalty-free licence to:

- transcode, adapt, edit, reformat and translate the Content where reasonably necessary for technical, operational or localisation purposes;
- create and display previews, thumbnails, watermarked samples and promotional materials derived from the Content;
- display and distribute the Content on the Platform to enable its discovery, review, licensing and download by Clients;
- use and display the Content in Veriscope’s marketing and promotional materials to promote Contributors, Clients, the Platform or the Services;
- manage, administer and enforce Licences granted to Clients and other authorised users;
- record, reference or link the Content and related transactions using Blockchain and Decentralised Storage technologies as described in these Terms and the Privacy Policy.
14.2.2 Purpose limitation
The licence granted in this clause is provided solely for the purposes of:
- operating, securing and improving the Platform and Services;
- enabling discovery, licensing and distribution of Footage; and
- fulfilling Veriscope’s contractual obligations to Contributors and Clients.
14.2.3 Duration
This licence continues while the Content remains available on the Platform and for a reasonable period thereafter to allow for:
- the fulfilment of Client Licences;
- back-ups and archival storage;
- dispute resolution and enforcement; and
- compliance with legal or regulatory obligations.
Removal of Content from the Platform will not affect Licences already granted to Clients.
14.3 Licences granted to Clients
14.3.1 Authorisation to grant Licences
By making Footage available on the Platform, Contributors authorise Veriscope to grant Licences to Clients:
- in Veriscope’s own name;
- on the Contributor’s behalf; or
- through a combination of both,
depending on the commercial structure used for the relevant transaction.
14.3.2 Nature of Licences
Unless otherwise specified in the relevant Licence description:
- Licences granted to Clients are non-exclusive;
- Licences are subject to any territorial, temporal, media and usage restrictions specified at the point of purchase; and
- Contributors remain free to license their Content through other channels unless otherwise agreed with Veriscope.
14.3.3 Binding effect
By uploading Content and making it available for licensing, Contributors agree that Clients who purchase Licences in accordance with these Terms will acquire valid rights to use the Footage as described in the relevant Licence.
14.4 Intellectual Property in the Platform
14.4.1 Ownership of the Platform
Except for Content provided by Users, Veriscope and its licensors own all rights, title and interest in and to the Platform and the Services, including:
- software, source code, algorithms and technical infrastructure;
- visual interfaces, design, layout, graphics and user experience;
- databases, compilations, indices, search, ranking, recommendation and indexing systems, and aggregated data (excluding personal data identifiable with a specific individual, which is processed in accordance with the Privacy Policy);
- trade marks, trade names, logos, domain names and brand elements; and
- all associated Intellectual Property Rights and proprietary rights.
14.4.2 Licence to use the Platform
Subject to your compliance with these Terms and Applicable Law, Veriscope grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely:
- for your own internal business or professional purposes (or, for Consumers, personal non-commercial use); and
- in accordance with these Terms and any applicable Licence.
Use of the Platform does not transfer ownership of any part of the Platform or Services to you.
14.5 Feedback
If you provide Veriscope with any suggestions, comments, ideas, proposals, feature requests or other feedback regarding the Platform or Services (Feedback):
- you grant Veriscope a worldwide, perpetual, irrevocable, non-exclusive, sublicensable, transferable, royalty-free licence to use, copy, modify, publish, distribute and otherwise exploit such Feedback for any purpose without compensation to you;
- you acknowledge that Feedback is provided on a non-confidential basis; and
- to the extent permitted by Applicable Law, you waive any moral rights or similar rights in relation to Veriscope’s use of such Feedback.
14.6 Notice-and-Action Procedure
If you believe that any Content available on the Platform is illegal, infringes your rights or otherwise breaches these Terms, you may submit a notice to Veriscope using the reporting channels made available on the Platform or on our website.
Your notice should, where reasonably possible, include:
- your name and contact details;
- identification of the Content in question;
- details of the rights allegedly infringed; and
- supporting information or evidence.
Upon receiving a credible notice, Veriscope may:
- review the notice and request additional information where necessary;
- remove or disable access to the Content;
- notify the Contributor who uploaded the Content; or
- take other actions required by Applicable Law.
14.7 Counter-notice and appeals
Where appropriate and as required by Applicable Law (including the EU Digital Services Act and the Platform-to-Business Regulation), Veriscope may provide mechanisms allowing Users to:
- submit counter-notices where they believe Content was wrongly removed or restricted; and
- challenge certain moderation decisions through internal complaint procedures.
14.8 No general monitoring obligation
Nothing in these Terms requires Veriscope to actively monitor all Content or communications on the Platform.
Veriscope does not undertake a general obligation to monitor Content or User activity, but may investigate and take action where it becomes aware of potential violations of these Terms or Applicable Law.
15. Suspension, termination and complaints
15.1 We may suspend, restrict or terminate your Account or access to the Platform where:

- we are required to do so by law or a competent authority;
- your use of the Platform creates significant risk or harm.
15.2 For Business Users in the EU/EEA, we will provide statements of reasons and access to an internal complaint process where required by the Platform-to-Business Regulation and the Digital Services Act.
15.3 You may terminate your Account at any time. Termination does not affect:
- existing licences and payment obligations; or
- clauses intended to survive termination (e.g. IP, confidentiality, liability).
16. Warranties and limitation of liability
16.1 No exclusion of non-waivable rights
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including:
- death or personal injury caused by negligence;
- intentional misconduct, gross negligence or fraud;
- mandatory consumer rights under EU or national law.
16.2 Consumers
If you are a Consumer:
- we are responsible for foreseeable loss or damage caused by our breach of contract or failure to use reasonable care and skill;

- any exclusions or limitations apply only to the extent permitted by the consumer protection laws of your country of residence.
16.3 Business Users
If you are a Business User, to the maximum extent permitted by law:
- the Platform and Services are provided on an “as is” and “as available” basis;
- we exclude all implied warranties (merchantability, fitness for purpose, non-infringement), except where such exclusion is prohibited;
- we are not liable for:
- any indirect, consequential, special or punitive damages;
- any loss of profits, revenue, business, contracts, goodwill or data;
- any loss arising from reliance on Footage without independent verification;
- our aggregate liability to you in any 12-month period arising out of or in connection with these Terms, the Platform or any content or services is limited to the greater of:
- EUR 10,000; and
- the total fees you paid to Veriscope for Services (excluding pass-through payments for Footage) in that period.
17. Indemnities (Business Users)
17.1 Contributor indemnity
To the maximum extent permitted by Applicable Law, each Contributor agrees to indemnify, defend and hold harmless Veriscope, its affiliates, directors, officers, employees, contractors and agents (together, the Veriscope Indemnified Parties), and, where applicable, affected Clients, from and against any and all claims, demands, actions, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- any allegation that the Contributor’s Footage or other Content infringes or misappropriates any intellectual property rights, privacy rights, publicity rights or other rights of any third party;
- any allegation that the Contributor’s Footage or Content is unlawful, defamatory, misleading or otherwise violates Applicable Law;
- the Contributor’s failure to obtain necessary permissions, licences, releases or consents required for the capture, upload, licensing or distribution of the Footage;
- any breach of these Terms or any applicable Licence terms by the Contributor; or
- the Contributor’s use of the Platform or Services in violation of Applicable Law.
17.2 Client indemnity
To the maximum extent permitted by Applicable Law, each Client or other Business User agrees to indemnify, defend and hold harmless the Veriscope Indemnified Parties and, where appropriate, affected Contributors, from and against any and all claims, demands, actions, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- the Client’s use of Footage or other Content beyond the scope of the Licence granted through the Platform;
- the Client’s failure to obtain any additional permissions, releases or clearances required for the intended use of Footage, including but not limited to talent releases, location permissions, trademark clearances or underlying copyright licences;

- the Client’s breach of these Terms or any applicable Licence terms; or
- the Client’s use of the Platform or Services in violation of Applicable Law.
17.3 Conditions of indemnity
The indemnities provided in this Section are subject to the following conditions:
- the indemnified party will promptly notify the indemnifying party of any claim for which indemnification is sought, provided that any delay in notification will not relieve the indemnifying party of its obligations except to the extent that it is materially prejudiced by such delay;
- the indemnifying party will have the right to assume control of the defence and settlement of the claim, provided that any settlement which imposes obligations on, or admits liability on behalf of, the indemnified party requires the prior written consent of that party, such consent not to be unreasonably withheld or delayed;
- the indemnified party may participate in the defence of the claim with its own counsel at its own expense; and
- the indemnified party will provide reasonable cooperation and assistance, at the indemnifying party’s expense, in defending the claim and will take reasonable steps to mitigate its losses.
17.4 Limitation
The indemnities set out in this Section do not apply to the extent that a claim arises primarily from Veriscope’s own breach of these Terms, Applicable Law, or its intentional misconduct or gross negligence.
18. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Platform or to comply with law.
- For Business Users, we will provide at least 15 days’ notice of material changes where required by the Platform-to-Business Regulation, unless urgent changes are needed for legal or security reasons.
- For Consumers, we will notify you in accordance with applicable consumer law and explain any rights you have if you do not agree to the changes.
Your continued use of the Platform after updated Terms take effect constitutes acceptance.
